13. Subscription purchase
Subscriptions are charged at the price displayed at the time of purchase. The subscriber authorises Equity Fountain and its payment provider to collect the applicable subscription charge. Subscriptions may be monthly, annual, enterprise or otherwise agreed in writing. Unless stated otherwise, subscriptions renew automatically until cancelled. Prices are shown excluding VAT, which is applied at the prevailing rate where required.
14. Automatic renewal
Where automatic renewal applies, the subscription renews at the end of each billing period and the subscriber authorises recurring payment using the payment method provided. The subscriber may cancel future renewal through the account area. Cancellation normally prevents the next renewal charge but does not retrospectively cancel a billing period already purchased.
15. Refunds
Except where required by applicable law or expressly agreed: subscription charges are non-refundable once the relevant paid period has commenced; unused subscription time is not refundable; failure to use the service does not create a right to a refund; cancellation does not normally result in a pro-rata refund; and downloadable materials already accessed or supplied are not refundable merely because they have not been used. Nothing in these terms removes any right which cannot lawfully be excluded.
16. Access after cancellation
Unless otherwise stated, a subscriber who cancels may continue to use paid features until the end of the billing period already paid for. After that date, paid access may cease. Downloaded materials remain subject to the licence provisions below.
17. Licence to use content
Subject to payment, Equity Fountain grants a limited, non-exclusive, non-transferable licence to use the materials available under the subscriber's plan for their own professional business purposes. Where white-label rights are included, approved materials may be customised for use with the subscriber's own clients. The subscriber must not resell raw Equity Fountain data without permission, reproduce the entire database, share login credentials, provide platform access to unauthorised third parties, scrape the platform, reverse engineer protected software, remove required source notices, or represent Equity Fountain content as independently created where attribution is required.
18. Intellectual property
Unless otherwise stated, all intellectual-property rights in website content, database structures, software, calculators, reports, training material, presentations, graphics, templates, Fountain AI systems, branding and proprietary data organisation belong to Equity Fountain or its licensors. Third-party provider information remains subject to the rights of the relevant third party.
19. Third-party data
Equity Fountain may display information obtained from third parties and is not responsible for changes made by third parties after information has been obtained or verified. Where practical, subscribers should use the source links provided to confirm material information.
20. Service availability
Equity Fountain may update, modify, add or remove features, suspend parts of the service, conduct maintenance and change data providers. Continuous uninterrupted availability is not guaranteed.
21. Limitation of liability
Nothing in these terms excludes or limits liability where such liability cannot lawfully be excluded or limited. Subject to that, Equity Fountain is not liable for indirect or consequential loss arising from use of the service, including loss of profit, revenue, opportunity, business, goodwill, anticipated savings, data or client relationships. Equity Fountain is not responsible for losses resulting from failure to verify information, use of outdated product information, incorrect data entered by a subscriber, reliance on illustrative calculations, advice or recommendations given by the subscriber, incorrect interpretation of information, third-party provider changes, tax, estate-planning, inheritance or probate decisions, HMRC enquiries, client complaints arising from the subscriber's advice, or regulatory breaches committed by the subscriber, except to the extent such liability cannot lawfully be excluded.
22. Liability cap
Subject to any liability which cannot lawfully be limited, Equity Fountain's total aggregate liability arising out of or in connection with the subscription is limited to the total subscription fees actually paid by the subscriber during the 12 months immediately preceding the event giving rise to the claim. This clause is to be confirmed by Equity Fountain's solicitor before launch.
23. Non-excludable liability
Nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence where such liability cannot lawfully be excluded, or any other liability which cannot lawfully be excluded or limited.
24. Indemnity
To the extent permitted by law, a business subscriber agrees to indemnify Equity Fountain against third-party claims, costs and losses arising directly from advice given or recommendations made by the subscriber, misuse of Equity Fountain materials, unauthorised representations about Equity Fountain, breach of these terms, failure to perform required due diligence, or regulatory or professional breaches by the subscriber. This provision is subject to legal review before use.
25. Regulatory responsibility
Each subscriber remains responsible for complying with rules applicable to their own business, including relevant FCA requirements, financial-promotion requirements, professional conduct requirements, Consumer Duty obligations where applicable, record-keeping requirements and data-protection obligations. Equity Fountain does not undertake those obligations on behalf of the subscriber.
26. Data protection
Each party must comply with applicable data-protection law. Where subscribers enter client information into the platform, the subscriber remains responsible for ensuring they have a lawful basis for doing so, and should minimise the personal data entered. Our Privacy Notice explains what data is collected, why, the lawful bases, retention, processors, international transfers, security, data-subject rights and contact information.
27. Client data
Subscribers should use client references or initials where full names are unnecessary, and must not upload highly sensitive personal information unless the feature expressly requires it and appropriate safeguards are in place.
28. Termination
Equity Fountain may suspend or terminate access where a subscriber fails to pay, misuses the service, shares login credentials, unlawfully republishes data, breaches intellectual-property rights, uses the service unlawfully, creates material security risk, or materially breaches these terms.
29. Changes to terms
Equity Fountain may update these terms from time to time. Material changes will be notified to subscribers where appropriate. Continued use after an effective date may constitute acceptance where permitted by law.
30. Governing law
These terms are governed by the laws of England and Wales. Subject to applicable law, the courts of England and Wales have jurisdiction over disputes arising from these terms.
